1. Acceptance of Terms
By accessing, browsing, or using the Synth Studio platform ("Service"), operated by Synth Global Limited ("Company", "we", "us", or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms in their entirety, you must immediately cease all use of the Service.
We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. Any such modifications shall be effective immediately upon posting to the Service. It is your responsibility to review these Terms periodically. Your continued use of the Service following any modifications constitutes your binding acceptance of the revised Terms. If you do not agree to the modified Terms, your sole remedy is to discontinue use of the Service.
2. Description of Service
Synth Studio is a video enhancement and effects platform that enables users to upload video content and apply artistic style transformations, resolution upscaling, and other visual enhancements using state-of-the-art open source models. The Service is provided on a pay-as-you-go basis through a credit system, where one credit is consumed per video processed, regardless of the style, effect, or upscaling resolution selected.
The Service is provided "as is" and "as available." We make no guarantee that the Service will be uninterrupted, timely, secure, or error-free. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
3. Eligibility and User Accounts
You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement and that all registration information you provide is truthful, accurate, and complete.
You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to notify us immediately at team@synthstudio.net of any unauthorised access to or use of your account. We shall not be liable for any loss or damage arising from your failure to safeguard your account information.
We reserve the right to suspend, disable, or terminate any account at our sole discretion, including but not limited to accounts that violate these Terms, accounts involved in fraudulent activity, or accounts that have been inactive for an extended period.
4. Credits and Payments
The Service operates on a prepaid credit system. Credits are sold in packages at the prices displayed on our pricing page at the time of purchase. Current packages include Mini (3 credits), Small (6 credits), Medium (17 credits), Large (29 credits), Pro (58 credits), and Unlimited (265 credits). One credit is required to process one video, regardless of the transformation or resolution selected.
Key terms governing credits:
• Credits are non-refundable once purchased, except where required by applicable law.
• Credits are non-transferable and may not be exchanged for cash or any other form of value.
• Credits do not expire and remain in your account until used.
• We reserve the right to modify credit package pricing at any time; however, price changes will not affect credits already purchased.
Payment processing is handled by third-party payment service providers. Your use of those services is subject to their respective terms and conditions and privacy policies. We do not store complete payment card information on our servers. All transactions are processed in US Dollars unless otherwise specified.
We reserve the right to refuse or cancel any transaction if we reasonably suspect fraud, unauthorised activity, or a violation of these Terms.
5. Intellectual Property
The Synth Studio name, logo, brand identity, and all related trademarks, service marks, and trade names are the exclusive property of Synth Global Limited. The Service, including but not limited to its visual design, user interface, underlying software architecture, and proprietary processing pipeline (excluding open source components used under their respective licences), is protected by copyright, trademark, patent, trade secret, and other intellectual property laws of England and Wales and applicable international treaties.
You may not copy, reproduce, modify, distribute, sell, lease, licence, sublicence, or create derivative works based on any part of the Service or its content without our prior written consent. Any unauthorised use of our intellectual property constitutes a violation of these Terms and may constitute a violation of applicable law.
Open source software components incorporated into the Service are subject to their respective open source licences, which shall take precedence over these Terms solely with respect to those components.
6. User Content
You retain all ownership rights to any videos, images, and other content you upload to the Service ("User Content"). By uploading User Content, you grant us a limited, non-exclusive, royalty-free, worldwide licence to process, transform, temporarily store, and transmit your content solely for the purpose of providing the Service to you.
We do not claim any ownership interest in your User Content. We do not use User Content for model training, marketing, analytics, or any purpose other than delivering the processing you have requested. Processed videos are made available for download for a limited period, after which both source and processed files are permanently deleted from our servers.
You represent and warrant that: (a) you own or have all necessary rights, licences, and permissions to upload and process your User Content; (b) your User Content does not infringe upon or violate the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party; and (c) your User Content complies with all applicable laws and regulations.
7. Prohibited Uses
You agree not to use the Service to:
(a) Upload, process, or distribute content that infringes upon any third party's intellectual property, privacy, publicity, or other proprietary rights;
(b) Upload, process, or distribute content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, or otherwise objectionable;
(c) Upload content depicting the exploitation or abuse of minors in any form;
(d) Attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service or its proprietary components;
(e) Use automated scripts, bots, crawlers, or other automated methods to access the Service beyond the intended user interface or published API;
(f) Interfere with, disrupt, or place an undue burden on the Service, its servers, or the networks connected to the Service;
(g) Resell, redistribute, or commercially exploit processed outputs in a manner that competes with the Service without prior written authorisation;
(h) Upload content containing malware, viruses, trojan horses, or any other malicious or destructive code;
(i) Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
(j) Use the Service in violation of any applicable local, national, or international law or regulation.
Violation of any of the above may result in immediate termination of your account and forfeiture of any remaining credits, without refund.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from the use of the Service will be accurate, reliable, or satisfactory; or (d) any errors in the Service will be corrected.
Any content downloaded from or otherwise obtained through the use of the Service is accessed at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data resulting therefrom.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNTH GLOBAL LIMITED AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total amount you have paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or fifty pounds sterling (£50), whichever is greater.
Nothing in these Terms shall exclude or limit liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Synth Global Limited and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and court costs) arising from or related to: (a) your use or misuse of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your violation of any rights of a third party.
We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with us in asserting any available defences.
11. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including but not limited to a breach of these Terms. Upon termination: (a) your right to use the Service will immediately cease; (b) any unused credits remaining in your account at the time of termination for cause shall be forfeited without refund; (c) we may delete your account data and any associated User Content.
You may terminate your account at any time by contacting us at team@synthstudio.net. If you terminate your account voluntarily, unused credits will remain available should you choose to reactivate your account within twelve (12) months.
All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
12. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service, including the validity, invalidity, breach, or termination thereof, shall first be subject to good-faith negotiation between the parties for a period of not less than thirty (30) days from the date written notice of the dispute is provided.
If the dispute cannot be resolved through negotiation, either party may submit the dispute to binding arbitration administered in London, England, in accordance with the rules of the London Court of International Arbitration (LCIA). The language of the arbitration shall be English. The decision of the arbitrator shall be final and binding upon both parties.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
You agree that any dispute resolution proceedings will be conducted on an individual basis only, and not in a class, consolidated, or representative action.
13. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the parties.
14. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or policies published by us on the Service, constitute the entire agreement between you and Synth Global Limited with respect to the subject matter hereof. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and the Company regarding the Service.
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Subject to the dispute resolution provisions in Section 12, you agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the courts of England and Wales, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.
